LICENSE AGREEMENT FOR IMPROV LAB SOUNDS:

This License Agreement ("Agreement") is made and entered into by and between Improv Lab Sounds ("Licensor") and the user ("Licensee") who downloads or purchases any sound samples or sample packs ("Samples") from the Improv Lab Sounds website located at www.improvlabsounds.com.

WHEREAS, Licensor owns or controls certain sound samples and sample packs and desires to grant a license to Licensee to use the Samples subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Grant of License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Samples for the sole purpose of creating new works.
Restrictions. Licensee agrees that it shall not: (a) sell, sublicense, or redistribute the Samples, in whole or in part, or use them in any other commercial or non-commercial capacity, except as expressly permitted by this Agreement; (b) use the Samples in any way that would infringe any third-party intellectual property rights or other proprietary rights; or (c) use the Samples in any way that would violate any applicable laws, regulations, or industry standards.
Ownership. Licensee acknowledges and agrees that Licensor retains all right, title, and interest in and to the Samples, including all intellectual property rights and other proprietary rights. Licensee shall not acquire any ownership interest in the Samples, and this Agreement does not grant Licensee any right to use any of Licensor's trademarks, service marks, or logos.
Termination. This Agreement shall terminate automatically if Licensee breaches any of its obligations under this Agreement. Upon termination, Licensee shall immediately cease all use of the Samples and shall delete or destroy all copies of the Samples in its possession.
Disclaimer of Warranty. LICENSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, REGARDING THE SAMPLES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability. LICENSOR SHALL NOT BE LIABLE TO LICENSEE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, INCLUDING WITHOUT LIMITATION LOST PROFITS OR BUSINESS INTERRUPTION, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without giving effect to any choice of law or conflict of law provisions.
Entire Agreement. This Agreement constitutes the entire understanding of the parties and supersedes all prior or contemporaneous agreements, negotiations, representations, and understandings, whether written or oral, relating to the subject matter of this Agreement.
Acceptance. Licensee's downloading or purchasing of any Samples from the Improv Lab Sounds website shall constitute Licensee's acceptance of the terms and conditions of this Agreement.
Modification. This Agreement may not be modified or amended except in writing signed by both parties.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date Licensee downloads or purchases any Samples from the Improv Lab Sounds website.
